These terms are short on purpose. A law firm that subscribes to LexiSync signs a Master Services Agreement, a Data Protection and Information Security Agreement and a HIPAA Business Associate Agreement with LexiSync.ai, LLC. Those agreements are the binding terms between LexiSync and the firm. This page covers use of the website and the service by anyone, and our Privacy Policy describes how data is handled.
1. Who these terms are for
These terms apply to anyone who uses the LexiSync website or the LexiSync service (“you”). If you use LexiSync on behalf of a law firm, or as a client a law firm has invited to its portal, the firm’s agreements with LexiSync.ai, LLC govern wherever they differ from these terms.
2. The service
LexiSync is practice-management software for law firms: matters, documents, intake, time and billing, calendars, and a client portal. LexiSync is not a law firm and does not give legal advice. Documents, summaries and suggestions it produces are drafts for a lawyer’s review, and dates it computes are estimates to verify.
3. Accounts
You are responsible for your sign-in details and for keeping your second factor secure. Tell us at once if you believe an account has been compromised. Firms control who at the firm has access, and which clients are invited to the portal.
4. Acceptable use
Do not use LexiSync to break the law, to infringe others’ rights, to store or send malicious code, to probe or overload the service, or to reach data you are not authorized to see. We may suspend an account for a violation after notice, or without notice where that is needed to protect others.
5. Connected accounts
You may connect outside accounts (Google, Microsoft, QuickBooks Online, LawPay) to LexiSync. Each is governed by that provider’s own terms, you can disconnect at any time, and our Privacy Policy describes what each connection reads and writes.
6. Your data
What a firm and its clients put into LexiSync belongs to them. We use it only to provide the service, as the Privacy Policy describes.
7. Our property
LexiSync’s software, design and content belong to us or our licensors. You receive a right to use the service, not ownership of it.
8. Availability and changes
We aim for high availability but do not promise uninterrupted service. We may change or retire features, and we will give firms reasonable notice of material changes.
9. Disclaimers and limitation of liability
The service is provided “as is” to the extent the law allows. To the extent the law allows, LexiSync.ai, LLC is not liable for indirect, incidental or consequential damages, and its total liability for any claim is limited to the amounts paid for the service in the twelve months before the claim. For a subscribing firm, the limits in the firm’s agreements with LexiSync apply instead. Nothing here limits liability that cannot be limited by law.
10. Ending use
You may stop using LexiSync at any time. A firm may cancel its subscription at any time, with no cancellation fee, effective at the end of the current billing period, as its Master Services Agreement provides. We may end access for a breach of these terms.
11. Governing law
Rhode Island law governs these terms, without regard to its conflict-of-laws rules. Disputes go to the state and federal courts located in Rhode Island.
